These Terms and Conditions (“Terms”) are a legally binding agreement between you and Credex Healthcare LLC (“Credex,” “we,” “us”). They govern your use of credexhealthcare.com (the “Website”) and any services you order from Credex without a separate signed agreement. 

Please read them carefully. By using the Website or ordering services, you agree to these Terms. 

If you are accepting on behalf of a practice or other organization, you confirm that you have authority to bind it.

1. Signed Agreements Control

If you have signed a written services agreement with Credex (for example, a Medical Billing Services Agreement, Enrollment Services Agreement, or Contract for Licensure Services), that agreement governs the services it covers, and it controls over these Terms if there is any conflict. These Terms otherwise apply to your use of the Website.

2. Our Services and the Website

Credex provides administrative medical billing, revenue cycle management, credentialing, payer enrollment, and licensure support services to healthcare providers. Information on the Website is provided for general information only. Credex does not provide legal, medical, clinical, tax, compliance, or reimbursement advice, and nothing on the Website or in our communications is such advice. You should consult your own professional advisors.

3. Engaging Our Services; Fees; Refunds

Services are ordered through our sales team and are provided under a written agreement or invoice. Statements made by our sales or other personnel, whether by phone, email, or otherwise, do not modify these Terms or any signed agreement, and only the terms set out in a signed agreement or written invoice apply to the services. Fees are due when you engage our services and receive our invoice, unless otherwise agreed in writing, and services begin after payment is received. Refunds are governed by our Refund Policy, which forms part of these Terms. You agree not to initiate a chargeback or payment reversal for services we have performed or begun, and to contact us first at rcmsupport@credexhealthcare.com with any billing concern.

4. No Guarantee of Timing or Outcome

Credentialing, enrollment, licensure, claim processing, and payment decisions and timelines are controlled by payers, licensing boards, and other third parties. Any timeline or status estimate Credex provides is an estimate only. Credex does not guarantee any approval, participation status, effective date, processing time, claim payment, or reimbursement.

5. Your Responsibilities

You are solely responsible for the truth, accuracy, and completeness of all information and documents you provide to us, and we may rely on them without independent verification. You are responsible for your clinical, business, billing, and compliance decisions, including confirming patient eligibility and benefits and your providers’ network participation directly with each payer before rendering services. Network participation is confirmed only by a payer’s written confirmation of the participation effective date.

6. Service Locations

Credex may perform services through its employees located in the United States, India, or the Philippines, depending on resource availability, operational needs, business continuity requirements, and the nature of the services. Information you provide, including personal information and, where applicable, protected health information, may be accessed, processed, transmitted, and stored by authorized Credex employees in those locations, subject to confidentiality, security, and privacy obligations. You must notify us in writing before submitting information if any law, payer requirement, contract, or policy applicable to you restricts offshore access to or processing of that information.

7. Privacy and Health Information

Our collection and use of personal information is described in our Privacy Policy. Please do not submit patient health information through Website forms or general email. Credex receives protected health information only as a business associate under a written business associate agreement with its client.

8. Acceptable Use

You agree not to use the Website or services for any unlawful purpose; submit false, misleading, or unauthorized information; access or attempt to access systems or data without authorization; interfere with the Website’s operation or security, including through malware, scraping, or automated access; or impersonate any person or entity.

9. Intellectual Property

The Website and its content, including text, graphics, logos, and software, are owned by or licensed to Credex and are protected by intellectual property laws. You may view and use the Website for your internal business purposes only. Credex retains all rights in its systems, methods, templates, and work product, except for the limited right to use deliverables provided to you for your internal business purposes.

10. Third-Party Sites and Content

The Website may link to or reference third-party websites, portals, and content, including payer and government sites. Credex does not control and is not responsible for them, and your use of them is subject to their own terms.

11. Disclaimers

THE WEBSITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” EXCEPT AS EXPRESSLY STATED IN A SIGNED AGREEMENT, CREDEX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Where Credex provides services under these Terms, it will use commercially reasonable efforts to perform them in a professional manner.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CREDEX WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, REVENUE, REIMBURSEMENT, PATIENTS, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATING TO THE WEBSITE, THE SERVICES, OR THESE TERMS. CREDEX’S TOTAL LIABILITY FOR ALL CLAIMS COMBINED SHALL NOT EXCEED THE FEES YOU PAID TO CREDEX FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE THREE (3) MONTHS BEFORE THE CLAIM AROSE, OR ONE HUNDRED U.S. DOLLARS (US $100) IF THE CLAIM RELATES ONLY TO USE OF THE WEBSITE. These limitations apply to all theories of liability, including contract, tort, negligence, and statute, but do not apply to liability for fraud, intentional misconduct, or gross negligence, or to any liability that cannot be limited under applicable law.

13. Indemnification

You agree to defend, indemnify, and hold harmless Credex and its members, managers, officers, employees, and agents from any claims, losses, damages, and expenses, including reasonable attorneys’ fees, arising from your use of the Website or services, information you provide, your violation of these Terms, or your violation of any law or third-party right.

14. Disputes; Arbitration

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles, and the Federal Arbitration Act governs this Section. Before bringing any claim, you agree to send a written notice of dispute to legal@credexhealthcare.com describing the facts, the amount claimed, and the relief sought, and to negotiate in good faith for thirty (30) days. Any dispute not resolved shall be resolved exclusively by final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before one arbitrator, in Jacksonville, Florida, or remotely. Claims may be brought only on an individual basis, not in any class, collective, consolidated, or representative proceeding. Either party may seek injunctive relief, and any action to compel arbitration or enforce an award shall be brought in the state or federal courts in Duval County, Florida. EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL. The prevailing party may recover its reasonable attorneys’ fees and costs.

15. Communications

By providing your contact information, you agree that we may contact you by email, telephone, and, with your consent, text message about your inquiry and our services, as described in our Privacy Policy. You may opt out of marketing communications at any time.

16. Suspension and Termination

We may suspend or terminate your access to the Website at any time if we reasonably believe you have violated these Terms or the law. Sections that by their nature should survive termination, including Sections 3, 4, 5, and 9 through 17, will survive.

17. Changes

We may update these Terms and they do not affect services already ordered under a signed agreement. If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We are not liable for delays caused by events beyond our reasonable control. These Terms, together with the Privacy Policy and Refund Policy, are the entire agreement between you and Credex regarding their subject matter.
